These Terms and Conditions (\"Terms\") govern your access to and use of the website rentigen.com (the \"Site\") and the property maintenance coordination, cleaning, repairs, turnover services, and related offerings (collectively, the \"Services\") provided by Rentigen (\"we,\" \"us,\" or \"our\"), a Texas-based business.

By accessing the Site, creating an account, subscribing, requesting services, or otherwise using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.

We may update these Terms from time to time. Changes will be posted here with an updated \"Last updated\" date. Continued use after changes constitutes acceptance. Material changes may include additional notice via email or on the Site.

1. Eligibility and Account

You must be at least 18 years old and capable of forming a binding contract to use our Services. By using the Services, you represent that you meet these requirements.

When creating an account, you agree to provide accurate, current information and keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized use.

2. Services

We provide coordination and management of property maintenance, including:

Scheduling and overseeing vetted vendors (handymen, cleaners, plumbers, electricians, etc.) for repairs, routine upkeep, turnover cleaning, and more.
Specialized services for PadSplit properties, Airbnb/short-term rentals, single-family homes, multifamily units, and commercial properties.
Proactive maintenance recommendations and vendor dispatch in the Austin metro area (including Austin, Leander, Cedar Park, Round Rock, Georgetown, and surrounding areas).

Services are performed by independent contractors/vendors, not our direct employees. We coordinate and manage but do not guarantee the work of third-party vendors. Any issues with vendor performance should be reported to us promptly.

We reserve the right to refuse or cancel service requests at our discretion (e.g., due to safety concerns, non-payment, or scope outside our expertise).

3. Subscription and Pricing

Our core Services require a monthly subscription:

Base fee: $200.00 per month (covers coordination, scheduling, and management for your first property).
Additional properties: $150.00 per month each.
Actual maintenance/repair/cleaning work: Billed separately at the vendor's hourly or quoted rates (provided upfront for approval where possible).
Specialty jobs (e.g., large-scale repairs) may require separate quotes.

Subscriptions auto-renew monthly unless canceled. You authorize us (or our payment processor) to charge your provided payment method on file.

Pricing is subject to change with 30 days' notice (via email or account dashboard). Taxes, fees, and any applicable surcharges are your responsibility.

4. Payments and Billing

Payments are processed through secure third-party providers (we do not store full payment card details). You agree to pay all charges incurred under your account.

Late payments may incur fees (e.g., 1.5% per month or the maximum allowed by law). We may suspend Services for non-payment after notice.

Refunds: Subscription fees are generally non-refundable except as required by law. Individual service charges may be refundable/creditable only if vendor work is not performed or is materially deficient (determined in our reasonable discretion).

5. Your Responsibilities

You agree to:

Provide accurate property details, access instructions, and safe entry for vendors.
Ensure properties comply with all laws (e.g., tenant rights, short-term rental regulations).
Notify us of any hazards, restricted access, or changes in property status.
Not misuse the Services (e.g., no fraudulent requests, harassment of vendors).

You remain responsible for your property, tenants/guests, and any required insurance (we recommend landlord/property insurance covering vendor work).

6. Warranties and Disclaimers

Services are provided \"as is\" and \"as available.\" We do not warrant that Services will be uninterrupted, error-free, or meet your specific needs.

We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

Vendor work is warranted (if at all) only by the performing vendor—not by us. We coordinate but do not perform physical labor ourselves.

Texas Consumer Notice (Deceptive Trade Practices Act): Nothing in these Terms limits your rights under the Texas Deceptive Trade Practices–Consumer Protection Act (Texas Business & Commerce Code Chapter 17). Any waiver of rights under that Act is unenforceable to the extent prohibited by law.

7. Limitation of Liability

To the maximum extent permitted by law, Rentigen (including officers, directors, employees, agents, and vendors) shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, use, goodwill, or property damage) arising from or related to the Services, even if advised of the possibility.

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

You agree to indemnify and hold us harmless from claims arising from your property, misuse of Services, or violation of these Terms.

8. Termination

You may cancel your subscription anytime via your account dashboard or by contacting us (effective at the end of the current billing cycle).

We may suspend or terminate your account/Services immediately for:

Non-payment
Breach of these Terms
Fraud or illegal activity
Safety risks
At our discretion with notice where required.

Upon termination, you remain liable for unpaid amounts.

9. Intellectual Property

The Site, content, logos, and materials are owned by Rentigen or licensors. You may not copy, modify, distribute, or create derivatives without permission.

10. Governing Law and Dispute Resolution

These Terms are governed by Texas law, without regard to conflict of laws principles.

Any disputes shall be resolved exclusively in the state or federal courts located in Travis County, Texas. You agree to submit to the personal jurisdiction of those courts.

We encourage informal resolution first—contact us before legal action.

11. Miscellaneous

\nEntire Agreement: These Terms (plus any signed addenda) constitute the full agreement.
\nSeverability: Invalid provisions do not affect the rest.
\nNo Waiver: Failure to enforce a right does not waive it.
\nAssignment: We may assign these Terms; you may not without our consent.
\nForce Majeure: We are not liable for delays due to events beyond control (e.g., natural disasters, strikes).
